Contest Rules, Terms and ConditionsTermThe Contest entry period commences on DATE and continues until DATE (the "Contest Term"). No additional registrations or Contest submissions will be accepted after the close of the Contest Term. The Development Office of the University of Virginia reserves the right to cancel the Contest at any time in its sole discretion. Participation and Eligibility RequirementsParticipants are welcomed either as individuals or as teams made up of several persons (the “Participant(s)”). In the case of a team, one person must be designated as the team leader. The team leader will be solely responsible for receiving communications from and communicating with the Development Office of the University of Virginia (the “Development Office”). The Grand Prize will be distributed according to the instructions of the team leader. It is recommended that teams determine ahead of time how the Grand Prize would be allocated based on input from team members. Participants who are representatives of a company, college or university, or alumni interest group (“AIG”), have the responsibility to review, understand and abide by their employers’, schools’, or AIG’s policies regarding eligibility to participate in the Contest. Participants found to be in violation of their employers’, schools’, or AIG’s policies, will be disqualified from entering the Contest and/or being awarded the Grand Prize. The Development Office and all related entities disclaim any and all liability or responsibility for disputes arising between a student or employee and his or her school or employer related to this Contest. Any U.Va. alumnus/alumna, current student, faculty or staff member may enter the Contest. Any team consisting of at least one of the preceding may also enter the Contest. The Development Office reserves the right to limit, restrict, or deny participation in the Contest at any time for any reason. RegistrationTo participate in the Contest, Participants must submit an idea request online by going to the "Entry Form" tab at http://hoosonline.virginia.edu/c2c (the "Site"). Prior to such submission, Participants must register by providing the following information (this information must be submitted for each member of the team if the Participant is not registering as an individual): name, current address, phone number, e-mail, year of graduation, identity of team leader (if not registering as an individual), and affiliation with U.Va.. Any publicly displayed team data, including team names, may be changed if deemed inappropriate by the Development Office in its sole discretion. Each participant and/or team, by registering, agrees to be bound by these Rules. All entry information and submissions shall be deemed collected and judged in the United States. The Development Office will not reveal Participant identities unless and until a team wins a prize. JudgingThe spirit of the contest is that it is an educational experience as well as providing ideas for improving the annual giving effort by the young alumni population at the University of Virginia. Participants are required to submit a description of their proposals in accordance with the rules set forth at the Site designated by the Development Office. Proposals must describe all of the steps to be performed in terms of engaging the young alumni population with regards to the annual giving process. Qualified entries will be reviewed, considered and judged by a panel of qualified judges from the Development Office, Young Alumni Council, Alumni Association, and Engagement Office. In order for the Development Office to verify and judge proposals, Participants grant to the Development Office (including its affiliates and subsidiaries, employees, agents, and contractors), any and all rights to use, review, assess, test and otherwise analyze proposals and their content in connection with this Contest. In addition, Participants agree that the Development Office shall be free to use submitted proposals in any and all media for any purpose consistent with the stated objectives of the Contest without any obligation to limit or restrict such use. After qualifying for the Grand Prize, and being verified by the Contest judges, as a condition to receiving the Prize, the Participant must grant to the Development Office (including its affiliates and subsidiaries, employees, agents, and contractors), an irrevocable, royalty free, fully paid up, worldwide non-exclusive license to reproduce, distribute, display, and create derivative works from the winning Participant’s submission (“Winning Proposal”). Once the Winning Proposal is verified by the judges and the license is granted, the Development Office will award the Grand Prize to the winning Participant. A description of the Winning Proposal will be published on the Site along with the name or names of the winning Participant. Award of Contest PrizesGrand Prize: An undergraduate scholarship to be designated to AccessUVa within the University of Virginia in the name to be chosen by the winning Participant, consistent with, and subject to, all applicable procedures and requirements of the University of Virginia pertaining to the selection and designation of names by the University. A Participant is eligible to win and be awarded only one (1) Grand Prize. In the event a winner cannot be reasonably notified, verified or confirmed, a Contest Prize is declined or a potential winner is not in compliance with these Rules or eligible for award of a Contest Prize for whatever reason, the Contest will remain open and an alternate potential prizewinner will be chosen and verified in accordance with these Rules. The Grand Prize will be distributed to AccessUVa according to University policy and procedures after the Development Office has declared a winner. Return of a Grand Prize or failure of Grand Prize delivery will result in disqualification and an alternative winner will be chosen and verified in accordance with these Rules. Any costs or expenses associated with the acceptance and use of Grand Prize monies are the sole responsibility of the winning Participant. All Grand Prize details are at the Development Office’s sole discretion. A Grand Prize winner may make no substitutions or assignment of a Grand Prize other than as specified in these Rules. Confidentiality and ConflictsThe only individuals who will have access to submissions will be the judges who are assigned to read them and who will regard them as confidential. Judges who have a conflict of interests will be removed from judging any proposal with reference to which they have the conflict. Participants who believe that a judge or judges have such a conflict should call this alleged conflict to the attention of the Development Office. The Development Office assumes no responsibility for identifying conflicts not called to its attention. Note that the short description of ideas included with entry forms may be used in public documentation relating to the Contest. General Contest Terms and ConditionsA. Delivery. Participants are solely responsible for the timely and accurate submission of their entries in the Contest. The Development Office assumes no responsibility for Internet access required to connect to the Site, or for any other aspect of the timely, complete, and intelligible communication of entries, and reserves the right to reject any entry not submitted to the Site in accordance with these Rules. B. Entries; Verification/Audit; Participant Cooperation. All activities relating to Participant’s participation in the Contest and material submitted are subject to verification and/or auditing for compliance with these Rules and Participants agree to reasonably cooperate with the Development Office concerning verification and/or auditing. In the event that Contest verification activity or an audit evidences non-compliance with the Rules or official Contest communications, as determined in the Development Office’s reasonable discretion, a Participant’s continuing participation in any aspect of the Contest may be suspended or terminated. The Development Office reserves the right, in its sole discretion, to reasonably suspend or cancel the Contest should any virus, bug and/or other cause corrupt the administration, security or proper operation of the Contest. In the event the Contest is cancelled, the Development Office may, at its sole discretion, determine the winners from among all eligible and non-suspect validated entries received up to the time of such action using the judging procedure outlined above. C. Participants’ Affidavits, Contest Consent and Releases. As a condition of winning the Contest and receipt and acceptance of a Contest Prize, the winning Participant will be required to complete, sign and return a non-exclusive grant of license to the Development Office, an Affidavit of Eligibility and Liability Release and where lawful, a Publicity and Submission Release and License ("Publicity Release"), within fourteen (14) days of the date of winning status notification. The Publicity Release will include consent by the winning Participant and/or his or her employer/principal for the Development Office and those acting under its control to use the winning Participant’s name(s), picture(s), voice(s), likeness(s), and descriptive information concerning the winning Participant’s submission, worldwide in perpetuity, for the purposes of Contest-related advertising, promotion and publicity, and for such additional purposes as may be disclosed on the Site, without further compensation, notification or permission, unless prohibited by law. The winning Participant will also be required to complete all applicable documentation pertaining to taxation and, where applicable, foreign status. Without limitation, if the foregoing documents are not executed by the winning Participant and returned timely, or if notification is returned as non-deliverable, or if the winning Participant is found to be ineligible or otherwise not in compliance with these Rules, a Contest Prize may be forfeited at the sole discretion of the Development Office and the next eligible Participant in accordance with these Rules will be notified. Contest Prizes won by team leaders who are eligible minors in their state, province or country of residence shall be awarded to eligible minor’s parent or legal guardian who must sign and return all required documentation and otherwise fulfill all requirements imposed on winners set forth herein. D. Tax Consequences. Receipt of benefits from the Contest will have tax consequences. Participants should speak with their tax advisors prior to participation to prevent any undesired results. Should there be any local tax liability for participation in the Contest or the receipt of a Contest Prize, or costs or expenses relating to participation in the Contest or for the use and enjoyment of any Contest Prizes, or for any other reason, such taxes and/or expenses are the sole responsibility of the Participant. The Development Office will issue Contest-related tax reporting, as may be required by applicable laws and regulations. As a condition of winning the Contest and receipt and use of any Contest Prize, Participants agree to self-report to applicable local taxing authorities, as may be required by local laws. E. Rules Amendment and Interpretation. The Contest and its continuing terms and conditions, benefits and participation are offered to Participants at the sole discretion of the Development Office. The Development Office reserves the right to amend or interpret the Rules or official Contest communications and any element or elements arising under or relating to the Contest at any time, upon published notice to Participants on the Site. A Participant shall be deemed to have notice of any such amendments or interpretations upon publication of the same on the Site and shall be deemed to have accepted such amendments or interpretations by virtue of the Participant’s continuing participation in the Contest. Should a Participant not wish to continue to participate in the Contest pursuant to the prevailing Rules, as amended or interpreted, the Participant may terminate participation in the Contest by abandoning registration on the Site. All submitted material will remain the property of the Development Office. F. Rule Compliance Interpretation; Adjudication and Remedial Process. The Development Office reserves the right to make all decisions, in its discretion, arising out of or relating to instances of suspected abuse, fraud, error or anomalies in the operation of the Contest, including the Site, or any other interpretation, activity or suspected violation relating to the Contest, and such decisions by the Development Office are final and binding. Aggrieved Participants further agree, prior to resort to formal dispute resolution specified below, to submit to the Development Office via certified mail (The Development Office of the University of Virginia, 400 Ray C. Hunt Drive, Charlottesville, Virginia, 22904-4807) for internal adjudication a written statement concerning and fully describing any grievance. The formal response and decision by Development Office shall be final and binding on a Participant, but shall not bind the Development Office as to decisions or adjudications of similar future matters, if there is a rational basis for distinguishing the facts and circumstances of such matters. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of Participant(s) and the Development Office in connection with the Contest, shall be governed by, and construed in accordance with, the laws of the United States of America and the Commonwealth of Virginia, without regard to conflicts of law doctrine, and disputes not otherwise resolve will be adjudicated exclusively in the state or federal courts in Charlottesville, Virginia. G. Indemnification. Participants agree to release, defend, indemnify and hold harmless the Commonwealth of Virginia, the University of Virginia, the Development Office, and the officers, employees, agents, and students of any or all of the above, for any liability, claims, losses, damages or proceedings of any nature whatever (including attorneys’ fees), for any actions taken by the Participant pursuant to, in conjunction with, or related to the Contest. H. Conclusiveness of Rules. These rules, terms and conditions comprise the Contest’s Official Rules and, together with the Contest Site’s Terms of Use and official Contest communications or publications by the Development Office, shall govern and apply to all participation and activity arising out of and relating to the Contest and use of the Site. These Rules cannot be modified or superseded except by the Development Office. |
